Mirote LLC partners with the Arise® Platform to provide work-from-home opportunities to individuals operating as independent contractors. By enrolling and performing services through Mirote LLC, you acknowledge and agree to the following payment and fee structure:

1. Arise Platform Fee
   All independent contractors are responsible for a biweekly fee equal to 5% of their total earnings. This fee is collected by Arise for the use of its platform and related support services.

2. Mirote LLC Administrative Fee
   Mirote LLC deducts a standard administrative fee based on the pay rate of the program you service:

   • $1 per hour for positions paying $15/hour or below

   • $2 per hour for positions paying $16/hour or above

3. Automatic Fee Deduction
   Contractors will not be billed separately for these fees. All fees listed above will be automatically deducted prior to Mirote LLC issuing the contractor’s biweekly payment.

4. Independent Contractor Status
   Individuals working with Mirote LLC are not employees. As independent contractors, you are responsible for managing your own taxes, reporting your earnings, and complying with any federal, state, or local tax requirements. Mirote LLC does not withhold taxes from contractor payments.

These are the only fees associated with contracting under Mirote LLC. By continuing with onboarding or servicing any program, you acknowledge that you fully understand and accept this fee structure.

Earnings Disclaimer

Mirote LLC does not guarantee any specific level of income. Earnings vary based on factors including program availability, performance, attendance, hours serviced, adherence to client requirements, and platform guidelines. Your income is determined solely by the work you perform as an independent contractor.

Opportunity Availability Disclaimer

Work-from-home opportunities offered through Mirote LLC depend on the availability of programs provided by the Arise® Platform. Programs may open, close, or change without prior notice. Mirote LLC cannot guarantee placement into any specific client program or guarantee continuous availability of opportunities.

Technology & Equipment Responsibility Disclaimer

All independent contractors are responsible for providing and maintaining their own equipment, including but not limited to a compatible computer, high-speed internet connection, USB headset, and any other required tools. Mirote LLC is not responsible for equipment malfunctions, compatibility issues, or connectivity disruptions that affect your ability to service.

Any information provided by Mirote LLC related to taxes, earnings, or business structure is for informational purposes only. It should not be considered legal, tax, or financial advice. Independent contractors are encouraged to consult with a qualified professional regarding their individual obligations and circumstances.

Platform Dependency Disclaimer

Mirote LLC is partnered with, but not owned, operated, or controlled by Arise®. All opportunities and technical systems are provided through the Arise Platform. Changes, outages, or modifications to the Arise Platform may impact your servicing ability. Mirote LLC is not liable for disruptions or limitations caused by third-party platforms.

Payment Processing Disclaimer

While Mirote LLC issues payments on a biweekly schedule, delays may occur due to banking issues, inaccurate information submitted by the contractor, processing times within the Arise Platform, or other factors outside of Mirote LLC’s control. Mirote LLC is not responsible for delays caused by third-party institutions or platforms.

Background Check & Client Requirements Disclaimer

Certain client programs require background checks, assessments, or additional onboarding steps managed by third-party providers or the Arise Platform. Mirote LLC does not control these processes and cannot influence approval decisions or timelines. Failure to meet client requirements may impact your eligibility to service specific programs.

No Job Offer / At-Will Contracting Disclaimer

Participation in onboarding or training does not constitute an offer of employment. All individuals work with Mirote LLC strictly as independent contractors and may choose to end the contracting relationship at any time. Likewise, Mirote LLC reserves the right to discontinue a contracting relationship due to non-performance, non-compliance, or other valid business reasons.

Confidentiality & Conduct Disclaimer

Independent contractors must comply with all confidentiality agreements, conduct guidelines, security protocols, and training requirements set by both Mirote LLC and the Arise Platform. Failure to follow these standards may result in removal from programs or termination of the contracting relationship.
